πŸ“‹ Article 1 - Legal Information

These Terms of Service and Sale ("TOS") govern all contractual relationships between VrcFoss ("the Provider") and any Client ordering asset or avatar creation services.

πŸ“ Article 2 - Acceptance and Enforceability of Terms

2.1 Acceptance

Any order placement implies full, complete, and unreserved acceptance of these TOS. The Client acknowledges having read and understood them.

2.2 Enforceability

These terms prevail over any other Client document except by prior written agreement signed by the Provider.

2.3 Proof of Acceptance

Acceptance is evidenced by: payment of the order, sending a confirmation message on Discord, or beginning exchanges about project details.

2.4 Applicable Version

Ongoing orders remain subject to the TOS version in effect at the time of order placement.

πŸ’° Article 3 - Services and Pricing

3.1 Services Offered

The Provider offers the following services:

  • Standard Services:
    • Avatar Retexturing: €3 to €15
    • Asset Assembly: €5 to €10
    • GogoLoco Implementation: €3
    • 3D Asset Creation for Avatars: €2 to €10
    • Performance Optimization: upon quote
    • Corrections and Adjustments: upon quote
  • Custom Services:
    • Full Avatar Commissions: starting at €15 (personalized quote)
    • Complex and Customized Projects: detailed quote

3.2 Quotes and Acceptance

For projects exceeding €50 or with particular complexity, a detailed quote will be provided and valid for 30 days. Work begins only after the Client explicitly accepts the quote.

3.3 Pricing and Price Revision

Prices are in euros (€), taxes included. The Provider may modify rates for new orders; prices in effect are those displayed at order validation. Mid-project substantial modifications require a supplementary quote and Client's written agreement.

3.4 Complexity Assessment

Final pricing depends on number of assets, technical complexity, level of detail, and delivery deadlines (rush surcharge possible).

πŸ’³ Article 4 - Payment Terms

4.1 Accepted Payment Methods

Payments are accepted exclusively via: PayPal, Ko-fi, Jinxxy. No other payment method is accepted.

4.2 Payment Conditions

Full Payment (projects < €50): complete payment required before work begins. Split Payment (projects β‰₯ €50): 50% deposit before start, 50% balance before final delivery of source files.

4.3 Currency and Fees

All prices are displayed in euros (€). For international clients, currency conversion is handled by the chosen payment platform (PayPal, Ko-fi, Jinxxy) at the exchange rate applied on the day of payment. Any bank or platform conversion fees are the responsibility of the Client β€” VrcFoss does not add any additional fees on top of the displayed price.

4.4 Payment Delay

Non-payment of balance within 7 days after final request: project suspended, source files withheld, late penalties 5% per week; after 30 days Provider may terminate the order and retain the deposit.

4.5 Invoice and Receipt

Receipt or invoice is provided automatically via the payment platform; a detailed invoice can be requested by the Client.

πŸ“¦ Article 5 - Execution and Delivery

5.1 Delivery Timeframes

Standard timeframe: 4 to 7 business days from receipt of payment (or deposit) and all necessary elements. Simple projects: 2–3 days; medium: 4–7 days; complex: 7–14 days. These are indicative and may vary with workload, complexity, and Client response times. Provider will inform Client if delay > 48 hours is foreseeable.

5.2 Priority Service (Rush)

Accelerated delivery available for a surcharge of 30%–50% depending on urgency (24–72h options).

5.3 Delivery Methods

Delivered file formats: .unitypackage, .zip, .png, .psd, .spp, .blend, .fbx. Delivery channel: Discord (private message or server channel). Delivery hours: 10 AM–10 PM (France timezone).

5.4 Reception and Verification Period

Client has 72 hours after delivery to test and report problems. After 72 hours, service is considered accepted unless proven technical bug.

5.5 Backup Responsibility

Provider keeps a backup for 30 days after delivery. After that, Client is responsible for file preservation.

5.6 Client Non-Response (Project Abandonment)

If Client does not respond for 10 consecutive days: reminder with 5-day deadline; day 15: project pause and temporary file preservation (30 days); day 30: order considered abandoned, no refund and deposit retained.

πŸ”§ Article 6 - Revisions, Modifications, and Technical Support

6.1 Modifications Included

Unlimited minor adjustments included (technical bug fixes, toggle/menu tweaks, shader color adjustments). Support duration: 14 days after delivery.

6.2 Major Modifications

Substantial design changes, addition of new assets, or structural reworks are billed separately with prior agreement.

6.3 Technical Warranty and Bug Fixes

30-day warranty for bug fixes related to Provider's work, provided files are unmodified and issues are not caused by VRChat/Unity updates.

6.4 VRChat/Unity Compatibility Updates

First compatibility update after major VRChat/Unity change: free if within 90 days; subsequent updates charged at reduced rate.

6.5 Support Response Time

Response targets: 24h for critical bugs, 48h for minor issues, 72h for modification requests.

πŸ“œ Article 7 - Licenses, Intellectual Property, and Work Protection

7.1 Client Required Licenses

Client MUST provide proof of license/ownership for all supplied elements (model bases, assets, textures). Accepted proofs: purchase screenshot, invoice, confirmation email, or official license.

7.2 Client Responsibility

Client guarantees they are the legitimate owner or license holder. False declarations expose Client to liability and compensation obligations.

7.3 Intellectual Property of Work Performed

Provider's original creations: Client obtains personal, perpetual, non-exclusive usage rights for personal VRChat use; Provider retains IP, moral rights, and portfolio/promotion rights. Redistribution, resale, transfer, or commercial use are prohibited without explicit commercial license.

7.4 Strict Prohibitions

Redistribution, resale, sharing source files, reverse engineering, or claiming Provider's work as one's own are strictly forbidden. Exceptions only with prior written Provider permission.

7.5 Commercial Use and Special Licenses

Commercial use prohibited by default. Commercial licenses are available upon request with a supplementary fee and contractual terms (attribution, duration, territory).

7.6 Marking and Traceability

Provider may use invisible signatures, metadata, or discreet watermarks to trace files. Removing these protections violates the TOS.

7.7 Portfolio and Promotional Use

Provider reserves perpetual right to showcase work. To avoid publication, Client must request anonymity before work begins and pay a +20% supplement.

7.8 Actions in Case of Violation

Violations may result in immediate termination, blacklisting, and financial claims (10x order price or proven damages). Legal action may follow.

7.9 Credits & Portfolio Policy

To guarantee proper attribution and clarity, the following credit and portfolio rules apply to creations delivered by VrcFoss.

  • Credit format (required): use a clear attribution such as "Avatar by VrcFoss" or "Texture by VrcFoss" where public credits are displayed.
  • Placement: include the credit in the VRChat bio and in the description on any resale platform (Booth, Gumroad, etc.) where the item is distributed.
  • Social tags: tagging @VrcFoss on social networks is appreciated but optional.
  • Portfolio and showcase: VrcFoss may publish before/after images or screenshots in its portfolio and promotional channels unless the Client requests anonymity and agrees to any applicable confidentiality fee.
Example credits:
- VRChat bio: "Avatar by VrcFoss" or "Texture by VrcFoss"
- If resold/shared: visible credit + Discord link
- Social networks: tag @VrcFoss (appreciated, not mandatory)
- VrcFoss may publish before/after in portfolio unless anonymity requested

❌ Article 8 - Right of Withdrawal, Cancellation, and Refunds

8.1 Legal Right of Withdrawal (EU Consumers)

Consumer Clients have 14 days to withdraw unless the service is performed immediately with Client's prior agreement (waiver). Waiver is evidenced by a checkbox or by beginning Discord exchanges.

8.2 Client Cancellation Before Delivery

Before work starts (within 24h after payment): full refund minus transaction fees. After work begins: partial refund depending on progress (0–25%: 75% refund; 26–50%: 50%; 51–75%: 25%; 76–100%: no refund).

8.3 After Delivery and Acceptance

No refund after delivery except for proven serious non-compliance or unrecoverable corrupted files. Claim period: 72 hours after delivery; Provider will attempt corrections (up to 3 iterations) before partial or full refund decision.

8.4 Provider Cancellation

Provider may cancel for technical impossibility, invalid licenses, abusive Client behavior, prohibited content, or no response for 30 days. Refunds depend on progress and cause.

8.5 Refund Procedures

Refunds processed within 14 days, via the original payment method. Transaction fees are deducted unless Provider is exclusively at fault.

🚫 Article 9 - Accepted, Refused Content, and Right of Refusal

9.1 Accepted Content

Provider accepts SFW, NSFW (with conditions), furry, anime, fantasy, and moderate gore within artistic context.

9.2 Adult Content (NSFW) - Strict Conditions

+18 content accepted only with Client age certification (Provider may request ID). Refusal to provide proof leads to cancellation without refund. NSFW exchanges occur in private messages.

9.3 Strictly PROHIBITED Content

Provider categorically refuses pedophilia, zoophilia, extreme sexual violence, explicit child sexual content, hate speech, and other illegal or immoral content.

9.4 Discretionary Right of Refusal

Provider reserves absolute right to refuse any order and to blacklist Clients for misconduct. No refund if cancellation is due to Client's fault.

9.5 Public Blacklist & Appeal Procedure

For transparency and community safety, VrcFoss may maintain an anonymized record of severe policy violations. This will describe categories of behavior and reasons for blacklisting without revealing personal identifying details.

  • Scope: The public record summarizes types of violations and examples but never publishes client names or personal data.
  • Grounds for blacklisting: repeated non-payment, abusive or threatening behavior, piracy or unauthorized distribution of Provider's work.
  • Appeal procedure: A blacklisted client may file a single appeal within 30 days of notification via a Discord ticket or email; the Provider will review and respond within 30 days with a final decision.

πŸ“ž Article 10 - Customer Service, Communication, and Support

Availability: 10 AM–10 PM (UTC+1/+2). Response times: simple questions 2–6h, quotes 12–24h, technical support 24–48h. Provider never solicits via unsolicited email, social networks, or phone.

βš–οΈ Article 11 - Liability and Limitations

Provider commits to professional quality work and support during warranty period. Provider is not responsible for VRChat/Unity platform issues, Client modifications, indirect damages, or unauthorized use. Liability is capped to the amount paid for the order.

πŸ”’ Article 12 - Personal Data Protection (GDPR)

Controller: VrcFoss (Yotva). Data collected: identification data, order data, provided files, payment receipts. Retention: work files 30 days, order data 3 years, invoices 10 years. Clients have standard GDPR rights; to exercise them contact Provider via Discord.

πŸ“‹ Article 13 - Dispute Resolution

These TOS are governed by French law. Parties must attempt amicable resolution first. Arbitration clause applies for most disputes (confidential arbitration in France), with exceptions (IP violations, urgent injunctions, criminal matters). Consumer mediation remains an option for consumers.

πŸ”„ Article 14 - TOS Modifications

Provider may modify TOS at any time. Substantial modifications will be announced and notified; ongoing orders keep the version accepted at placement.

πŸ“Œ Article 15 - Miscellaneous Provisions

Entire agreement, partial nullity, waiver, contract assignment, force majeure and contract language clauses apply as described. French version prevails in case of contradiction.

By placing an order Client acknowledges reading and accepting these TOS, has legal capacity, and that payment is an irrevocable acceptance.
